Website bundle terms and conditions.

These terms form the agreement between C i Marketing Limited (we, us, our) and the client (you, your) for the Momentum, Encore, Optimised and Premium website bundles. By accepting your quote you confirm you have read and agree to these terms. Our general terms and conditions also apply to every bundle. These terms are governed by the laws of New Zealand.

Terms & Conditions

The service:

Four website bundles are covered by these terms. Momentum and Encore are built on our own platform and include an ongoing plan after go-live. Optimised and Premium are built on Squarespace as one off projects and are handed over to you.

• Momentum covers 10 to 15 pages on our own platform, with a discovery meeting and a creative brief developed with you, SEO and answer engine optimisation copywriting shaped with you through the brief and a review meeting, design direction and draft layouts built around your brand, two rounds of revisions, a testing and go-live checklist, and a basic editor so you can change your own text and images.
• Encore covers 15 to 25 pages on our own platform, with extended discovery, a creative brief and a customer journey content plan, SEO and answer engine optimisation copywriting shaped with you through the brief and review meetings, brand-led design, three rounds of revisions, a testing and go-live checklist, a basic editor, and Google Business Profile setup.
• Optimised covers 10 to 15 pages on Squarespace, with a sitemap and page-by-page content plan, SEO and answer engine optimisation copywriting developed with you from your drafts and meetings, a customised branded design applied to a template, a one hour photoshoot, two rounds of revisions, a testing and go-live checklist, then full editing control on handover.
• Premium covers 15 or more pages on Squarespace, with customer journey mapping and a content plan built around it, SEO and answer engine optimisation copywriting developed with you from your drafts and meetings, a fully customised design aligned with brand strategy, a one hour photoshoot, three rounds of revisions including a refinement stage, a testing and go-live checklist, then full editing control on handover.
• Every bundle includes mobile-responsive design, SEO, answer engine and generative engine optimisation setup, schema markup, Google Analytics and Search Console setup, and social media linking.
• Logo design is not included in any bundle unless your quote says otherwise. Full logo and brand identity development is available as a separate C i Marketing service.

Prices and payment:

• Prices are quoted exclusive of GST. GST at the current New Zealand rate is added at the time of invoicing.
• Set up starts at $4,995 + GST for Momentum, $9,995 + GST for Encore, $8,850 + GST for Optimised, and $16,350 + GST for Premium. Your quote confirms the price for your project.
• A non-refundable deposit is payable before work begins. This deposit locks in your project and secures your place in our schedule.
• The balance of your set up fee is invoiced as progress payments in advance across the build. The deposit amount and the payment stages are set out in your quote.
• Work on each stage begins once payment for that stage has been received.
• Momentum and Encore include an ongoing plan from your go-live date at $149 + GST a month with no lock-in, or $1,500 + GST a year paid up front, which works out at $125 + GST a month and includes two improvement check-ins a year.
• Optimised and Premium have no ongoing plan. After handover you can choose a bespoke maintenance and update retainer, one off help when you need it at our standard hourly rate, or manage the site yourself.
• We reserve the right to adjust pricing with 30 days notice. Price changes do not affect your existing plan rate until renewal.

Plans and commitments (Momentum and Encore):

Momentum and Encore are offered on two plans, and you choose yours at go-live: a month-to-month plan and an annual plan.

The month-to-month plan has no fixed term and no lock-in. You can cancel at any time (see Cancellation below).

The annual plan is paid in advance for twelve months from your go-live date. It renews annually unless you tell us otherwise, and once your twelve months are complete you may switch to the month-to-month plan.

The annual plan includes two website improvement check-ins each year. At each check-in we review how your site is performing, discuss what has changed in your business, and decide what you want to do next. There is no obligation to change anything.

Your brief and content:

• You are responsible for providing all written content, photos, brand assets, and other materials required to build your website.
• We shape, structure and proofread your content for search and answer engines, but we are not responsible for the factual accuracy, completeness or legality of content you supply.
• Your build begins once you have provided everything we have asked you for, not from the date of your deposit.
• Momentum and Optimised typically run from one month, and Encore and Premium from three months, depending on how quickly you return information and feedback to us. We confirm your timeline with you before we begin.
• If you do not supply photos and your bundle does not include a photoshoot, we will discuss stock photography with you. Stock photography is licensed for use on your website only and may not be used for other purposes without a separate licence.
• If your project is delayed for reasons on your side, the project delay clause in our general terms and conditions applies.

Photoshoot (Optimised and Premium):

• A one hour photoshoot is included with Optimised and Premium. The photography section of our general terms and conditions applies to it in full.
• Travel within a 30km radius of Cathedral Square in Christchurch is included. A travel fee is added for locations outside that area.
• Photos are captured based on a brief you provide to the photographer. Reshoots needed because information was not provided to us will incur additional charges.
• Raw images are not released and the copyright of raw images remains with the photographer. You receive edited images for the use agreed in your quote.
• Our photographers edit in their own professional style. Specific editing requests should be raised with us before the shoot.
• We retain the right to use images from your shoot in our portfolio and marketing materials unless you tell us otherwise in writing before the shoot.

Revisions and go-live:

• A round of revisions means one consolidated list of changes submitted after you review your preview site.
• Momentum and Optimised include two rounds of revisions. Encore includes three rounds. Premium includes three rounds, one of which is a refinement stage.
• Additional revision rounds are available at our standard hourly rate.
• Before go-live we work through a testing and go-live checklist with you.
• If you do not respond to your preview within 14 days, we reserve the right to proceed with go-live or place your project on hold.

Your Squarespace account (Optimised and Premium):

• We set up the Squarespace account and build your website inside it.
• At handover the account is transferred to you. From that date the subscription is in your name and you pay Squarespace directly.
• The Squarespace subscription cost is not included in your set up fee.
• By commissioning the build you agree to Squarespace’s own terms and conditions.
• We are not responsible for changes Squarespace makes to its platform, pricing or features.

Domain:

• Domain registration and renewal are not included in these bundles. You register and renew your own domain and the cost is yours.
• We will connect your domain to your website and provide step-by-step instructions specific to your registrar. You are responsible for making the required DNS changes.
• Your domain remains yours at all times.

Hosting and technical (Momentum and Encore):

• Hosting, SSL certificate and global content delivery are included in your ongoing plan.
• Video content must be hosted on YouTube or Vimeo and embedded on your site. Self-hosted video is not supported.
• Your editor login allows text and image updates to existing content only. New pages and structural changes must be requested as a paid update.

Handover (Optimised and Premium):

On handover you receive full editing control of your website and your Squarespace account.

After handover we are not responsible for content updates, user errors, technical support or added functionality. Help is available on a bespoke maintenance and update retainer, or as one off work at our standard hourly rate.

Non-payment and suspension:

• If an invoice for a progress payment is not paid, work on your project stops. We make no guarantee of holding your original timeline and may reschedule your project.
• Invoice due dates, late payment fees and interest are set out in our general terms and conditions.
• On the Momentum and Encore plans, if a plan payment fails our payment provider will automatically retry your card over the following days, and we will email you to ask you to update your payment details.
• If a plan payment is not received within 14 days of the first failed payment, your website will be suspended and will not be visible to the public.
• To reinstate a suspended website, all outstanding amounts must be paid in full along with a reinstatement fee of $85 + GST ($97.75 incl. GST).
• If a website remains suspended for 60 days without payment or contact, we reserve the right to terminate the service. Your domain remains yours regardless.

Cancellation:

• Your deposit is non-refundable. It is transferable to a later start date provided this happens within 6 months of the project being deferred in writing.
• If you cancel during the build, progress payments already made are not refunded and you will be invoiced for all work completed up to that point.
• You can cancel the Momentum or Encore month-to-month plan at any time through the Stripe customer portal or by emailing [email protected]. Cancellation takes effect at the end of your current billing period.
• The annual plan is paid in advance for the year and is non-refundable. At the end of your twelve months you can choose not to renew, or switch to the month-to-month plan.
• Set up fees and plan fees already paid are non-refundable.
• On cancellation of a Momentum or Encore plan we will assist with pointing your domain to a new provider.

Right to refuse service:

C i Marketing reserves the right, at our sole discretion, to refuse or terminate a website bundle at any time if the website content is found to be illegal, obscene, pornographic, defamatory, or otherwise in breach of New Zealand law or our standards of practice.

In such cases fees already paid will not be refunded and any ongoing plan will be cancelled immediately without notice.

Intellectual property:

• On completion of your project and receipt of full payment, you own the written content on your website and the final files for your work.
• Concepts and ideas not selected as part of the final project remain the property of C i Marketing.
• For Momentum and Encore, our platform, custom code, design systems and build frameworks remain our intellectual property. Your website is licensed to you for use while your plan is active, not sold.
• For Optimised and Premium, your website and your Squarespace account transfer to you at handover on receipt of full payment.
• C i Marketing retains the right to display your website in our portfolio and marketing materials unless you request otherwise in writing.
• C i Marketing will appear as the website developer in the footer of your website.

Liability:

Our liability to you is limited to the total fees paid by you in the 12 months preceding any claim. We are not liable for indirect, consequential, or economic loss arising from the use or unavailability of your website, or for changes to third-party platforms used to deliver the service.

Changes to these terms:

We may update these terms from time to time. We will notify you of material changes with at least 30 days notice. Continued use of the service after that date constitutes acceptance of the updated terms.

Governing law:

These terms are governed by the laws of New Zealand and shall be construed in all respects as a New Zealand contract.
